Limited and Fort Capital Partners (together, the "Agents") in connection with a best efforts private placement financing of up to 27,000,000 units of the Company (each, a "Unit") at a price of $0.30 per Unit (the “Issue Price”) for gross proceeds to the Company of up to $8,100,000 (the “Offering”).
